In the past 30 years since the China's policy of reform and opening, a number of rapidly increasing family business have emerged among the traditional large and medium scaled state-owned enterprises. These family business have been not only playing a more crucial role in the China's GDP, but also focused more attention upon due to their different management model than the traditional state-owned enterprises. Contrary to the majority of current researches on family business which explain the phenomenon of family business from the perspective of Chinese culture valued by the families, this paper will explore the reasons for the family business development in terms of the enterprises' intrinsic cultural characteristics and extrinsic social and economic conditions.

With the dramatic increase of the phenomena that Chinese family business takes control of the listed company, the conflicts of interests between the listed company's controlling shareholders (family business) and its outside minority shareholders become more intense. The root cause for it is that the pyramidal structure creates the separation of the listed company's voting rights and its cash flow rights. In other words, the family business can take advantage of small cash flow rights to realize comparatively large voting rights to control the listed subsidiary company, thus bringing about the externality issues on corporate governance.

This paper firstly analyses the corporate governance issues of family business on corporate governance based on the Evolutionary Theory, then compares the plutocratic reform policies implemented in Korea and Japan and finally puts forward corporate governance reform of current Chinese family business. That is, the government should not discriminate against nor impose restrictions on the development of family business. On the contrary, it should enforce the construction of the listed company's supervising systems, perfect the market competition mechanisms and cultivate the healthy development of family business while protecting the minority shareholders' benefits. Meanwhile, this paper points out that though this type of family business has limitations, it is a management model of the lowest transaction cost which can be adopted by the family business at the current stage of economic transformation in China.
