The management of transactions and the design of appropriate governance modes is an important issue in strategic management. The ability to link internal and external processes is an important element in the set of distinctive and valuable resources that contribute to sustain competitive advantage in organizations. The study of transactions attempts to identify and understand the factors affecting the choice of transaction governance modes. The objectives of this exploratory study is to analyze the factors that explain governance modes, explore limitations, and test a tentative model of relational contracting relative to legal contracting. In the model, the dependent variable, Relational Contracting, is hypothesized to be affected in its two dimensions, Collaboration and Private Ordering, by Asset Specificity, Perceived Buyer Commitment, Transaction Balance, External Uncertainty, the interaction between Asset Specificity and External Uncertainty, the interaction between Perceived Buyer Commitment and External Uncertainty, and Internal Uncertainty. Size of firm and Power act as covariates. Seven hypotheses are tested. Both Asset Specificity and Buyer Commitment are hypothesized to be negatively related to Relational Contracting. Transaction Balance is hypothesized to be positively related to Relational Contracting. External Uncertainty is hypothesized to be positively related to Relational Contracting, and to strengthen the negative and separate effects of Asset Specificity and Buyer Commitment on Relational Contracting. Finally, Internal Uncertainty is hypothesized to be positively related to Relational Contracting. The tentative model is tested, in its non-additive and additive forms, using multiple regression analysis. Data is questionnaire-based and drawn from a randomly selected sample of firms employing more than five full-time employees operating in the metal-engineering industry (SIC-code 35) in Pennsylvania. Results show no significant interaction effects and find no support for the non-additive model. Also, no support is found for hypothesized relationships in the additive model. Possible reasons are presented to enhance future modeling.
