Two-tier boards
exploring the dynamics of supervisory and management boards in corporate governance /[electronic resource] :by Darko Tipurić, Lana Cindrić. - Cham :Springer Nature Switzerland :2025. - ix, 123 p. :ill., digital ;24 cm.
Chapter 1. Introduction to the Two-Tier Board Model -- Chapter 2. Composition and Structure of Boards in the Two-Tier Board Model -- Chapter 3. Navigating Intra-Group Boardroom Dynamics -- Chapter 4. Navigating Dynamics Between the Supervisory and Management Boards -- Chapter 5. Board Evaluations in the Two-Tier Board Model.
This book explores the unique structure and function of the two-tier board model, a prevalent corporate governance framework in many European companies. This model separates supervisory and management boards, each with distinct roles and responsibilities, ensuring accountability and effective oversight. The book begins with an introduction to two-tier governance and its theoretical underpinnings, then delves into the composition and structural factors influencing board effectiveness, such as size, diversity, and the role of committees. It addresses the nuances of boardroom dynamics within and between the supervisory and management boards, highlighting the importance of leadership, trust, and conflict resolution. The final section focuses on board evaluations, emphasizing the need for behavioral insights to optimize board performance. This book will be of great interest to scholars and students of corporate governance and strategic management, as well as a useful resource for practitioners seeking an advanced guide to understanding and improving two-tier board operations in corporate settings. Darko Tipurić is a Full Professor at the Faculty of Economics & Business, University of Zagreb, Croatia. In addition to his academic duties, he serves as the President of the Croatian Economic Association. He has authored and edited more than 20 books and published more than 200 scientific and professional papers on strategic management, business decision-making, and corporate governance. He chairs the program committee of the International OFEL conference on Governance, Management and Entrepreneurship and serves on the program and editorial boards of several international conferences and academic journals. Lana Cindrić is a postdoctoral researcher at the Department of Organization and Management, Faculty of Economics & Business, University of Zagreb, Croatia. Her academic, teaching, and professional work focuses on corporate governance, with a particular emphasis on boardroom dynamics and board effectiveness. She has completed additional training and held visiting lecturer positions at respected business schools worldwide. She is actively engaged in the international research community through her involvement in Erasmus+ projects, and her service on organizing committees of international conferences and editorial boards of academic journals.
